If you're a trailblazer in product technology and software diligence, this role was designed for you—seize your seat at the table and take your career to new heights!Recruiting for this role ends on 5/29/2026.Work You’ll DoAs a Senior Manager, you will sell, lead and deliver complex strategic engagements that help refine our clients’ IT and product tech / software strategy with a focus on inorganic growth. This is done by conducting operational diligence, divestiture support and post-merger support for clients as they assess JVs, partnerships, acquisitions or potential sales. Senior Managers also use their existing transferable skills across other core IT domains. Product tech diligence Senior Managers are self-starters who are comfortable in energetic and dynamic cultures. Senior Managers are expected to contribute to the firm's growth and development in a variety of ways including but not limited to:Partner with senior executives to define how they employ M&A – in alignment with their corporate strategyPartner with private equity clients as they evaluate their portfolio and engage in buy-side and sell-side inorganic opportunitiesFacilitate M&A product tech / software diligence discussions with clients and target companies across industries with a focus on identifying risks and value creation opportunities across the IT organization, processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; and demonstrate a keen understanding of how technology enables business strategy and operational capabilitiesIdentify gaps and risk associated with software enablement, product maturity and IT technical debt and provide recommendations on how to mitigate the risks in the M&A contextDemonstrate a keen understanding of technology costs and financials, and quickly conduct cost transformation and cost estimation analysis through a combination of 3rd party benchmark and proprietary data and toolsDevelop key diligence artifacts including agendas, data request lists, interview guides, high-level roadmaps, one time and recurring cost analysis models, benchmark analysis, synergy analysis, contract analysis, tech-related transition service agreement schedules, high-level integration, divestiture and/or standup roadmaps, client deliverables and other related artifactsIdentify and collaborate with appropriate subject matter advisors to best serve clients with excellenceOwn and present project deliverables that reflect a high standard of analysis, as well as manage direct on-time, quality delivery of work productsServe as the primary day-to-day contact for client executivesExecute on multiple projects concurrently and work with Manager-level personnel to ensure excellenceWork effectively as the leader of a team and as an individualMentor and develop staff through informal coaching and day-to-day project interactionsImprove internal processes and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminenceDevelop point- of-view documents, participate in public speaking events and get published in industry periodicalsProvide a broad continuum of advisory services to support mergers, acquisitions, carve-outs, and partnerships including developing strategy, target scans, and IT/product, commercial and operational diligenceThe TeamOur M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.Within Deloitte’s M&A Offering, we have strategy and diligence specialists who focus on the value creation potential of each transaction and its inherent operational risks. The Deloitte IT Diligence team executes across several services through evaluating technology systems and operations of companies, identifying potential risks, and helping ensure IT is a successful enabler for an M&A transaction. Each service has a focus across an organization’s people, process, applications, infrastructure and software, and incorporates unique industry considerations. Product tech diligence helps our clients by reviewing proprietary technology products, cyber security, initial carve out/standup requirements and initial integration/separation planning requirements. This is done through an integrated platform which more clearly checks the alignment of the deal macros with our clients’ investment theses, focusing on the foundational maturity of the target company. This brings more value creation concepts to the diligence effort and applies a metrics-driven perspective.Qualifications:Required:8 years of software / technology experience in the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; with a keen understanding of how technology enables business strategy8 years of experience synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications (drawing directionally correct conclusions about the assessed target company) as part of an overall concrete assessment of the subject company8 years of M&A product tech / software diligence or M&A product tech / software diligence service delivery experience in the following areas:Leading product tech diligence engagements for large and/ or mid-market PE clients and portfolio companiesAssessing technology architecture from data, infrastructure and integration standpoint to provide comments on reliability and scalability of software or IT environment6 years of experience setting, leading and managing engagement objectives by defining the scope, plan and budget, as well as engagement economics risk6 years of experience business development by building and maintaining contact with top decision makers at key clients, participating in and leading aspects of the proposal development process, and contributing to the development of proposal pricing strategiesLead responsibility and delivery of at least 40 product tech projects for strategic or financial clientsExperience either in client service or in a consultative role (e.g., Corp Dev, Business Development, or Strategy)Bachelor’s degree and 8 years consulting and/or industry experience; alternatively, an MBA with 6 years relevant work experienceLimited immigration sponsorship may be availableAbility to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you servePreferred:Experience at a top strategy consulting firm or private equity / M&A Strategy focused boutique consulting firmMBA or technology-related advanced degree with 8 years relevant work experience with at least 8 years of consulting experience, 4 years of M&A consulting, and at least 8 years of practical IT operational experienceExperience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.Experience leading pre- and post- merger M&A IT activitiesLead responsibility for the delivery of at least 50 IT diligence projects for strategic or financial clients or other similar experience from other industry or consulting rolesInformation for applicants with a need for accommodation: The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs.
