Director, Corporate Legal (AGC) What You’ll Do Snorkel AI is looking for a Director, Corporate Legal (AGC) to join our growing Legal team, reporting to Snorkel’s General Counsel. This is a highly visible role with broad ownership across corporate transactions, governance, equity, entity management, and international expansion. As the first person in this role, you will help build and scale the corporate legal function for the next stage of Snorkel’s growth. You’ll work closely with Finance, People, executive leadership, and outside counsel, combining sophisticated corporate legal work with the hands-on operational work required in a fast-growing technology company. Responsibilities Lead private company financings, secondary transactions, M&A, strategic investments, and other corporate transactions from structuring through closing. Manage and work closely with outside corporate counsel to drive high-quality, responsive, and practical advice while maintaining disciplined and efficient legal spend. Build scalable processes, playbooks, templates, approval frameworks, and recordkeeping practices that allow the corporate legal function to scale with the business. Who You Are Minimum Qualifications J.D. and active membership in good standing in at least one U.S. jurisdiction. 10 years of relevant corporate legal experience in private practice and/or in-house. Significant experience advising venture-backed companies on private financings, M&A, corporate governance, and other strategic transactions. A mix of top-tier corporate law firm and in-house experience, ideally at a late-stage, high-growth technology company. Strong knowledge of U.S. corporate and securities law applicable to high-growth private companies. Experience with equity compensation, cap tables, capitalization records, and corporate governance. Experience managing subsidiaries, corporate formations, and entity compliance. Strong track record of managing outside counsel and working effectively with senior executives, Boards, investors, and cross-functional teams. Excellent judgment, drafting, negotiation, and project-management skills, with the ability to move seamlessly between complex transactions and hands-on execution.
